Terms and Conditions for Trade Mastermind Affiliate Program
**Effective Date:** 12September 2024
1. **Eligibility and Registration**
1.2 You must register through our Partner Portal to become an Affiliate. Upon registration, you will receive a unique tracking link that you can use for the digital promotion of TM events and offers.
1.3 Alternatively, you may use a web form provided by TM to submit leads that you have generated offline.
1.4 TM reserves the right to accept or reject any Affiliate registration at its sole discretion.
2. **Affiliate Responsibilities**
2.2 You must ensure that all promotional materials, including but not limited to websites, social media, and email campaigns, comply with applicable laws, regulations, and TM’s branding guidelines.
2.3 Affiliates are prohibited from engaging in any deceptive, misleading, or unethical practices in promoting TM events and offers. This includes, but is not limited to, false advertising, spam, and use of unauthorised materials.
3. **Commission Structure**
– You will receive a commission of £100 for each attendee referred by you to a TM Discovery Day live event, provided that the attendee has been qualified and confirmed by the TM Team.
3.2 **Program or Service Purchase:**
– If a business you referred purchases a TM program or service, you will receive a commission equal to 10% of the contract value of the purchased program or service, or 10% the first monthly payment if the purchase is completed using an internal payment plan administered by TM.
3.3 Commissions will only be paid on referrals that are tracked using your unique tracking link or submitted via the web form provided by TM.
4. **Payment Terms**
4.2 Payments will be made via Bank Transfer/PayPal, and you are responsible for providing accurate payment details. TM is not liable for any delays or errors caused by incorrect payment information provided by the Affiliate.
4.3 Commissions will be paid in GBP (£), and any applicable taxes or fees are the responsibility of the Affiliate.
4.4 If any referred attendee cancels their purchase or requests a refund, the corresponding commission will be deducted from your next payment.
5. **Termination**
5.2 TM reserves the right to terminate your participation in the Program immediately and without notice if you breach any of these Terms or engage in any conduct that TM deems harmful to its business or reputation.
5.3 Upon termination, you will be entitled to any unpaid commissions earned up to the date of termination, provided that such commissions are not subject to any disputes or chargebacks.
6. **Intellectual Property**
6.2 You agree not to use TM’s intellectual property in any manner that is misleading, defamatory, or otherwise damaging to TM’s brand or reputation.
7. **Confidentiality**
7.2 You agree to keep all Confidential Information strictly confidential and not to disclose it to any third party without TM’s prior written consent.
8. **Limitation of Liability**
8.2 TM’s total liability under these Terms shall not exceed the total amount of commissions paid or payable to you under this Agreement.
9. **Governing Law and Jurisdiction**
9.2 The parties irrevocably agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms.
10. **Miscellaneous**
10.2 You may not assign or transfer any of your rights or obligations under these Terms without TM’s prior written consent.
10.3 These Terms constitute the entire agreement between the parties regarding the Affiliate’s participation in the Program and supersede all prior agreements or understandings, whether written or oral, relating to the subject matter herein.
10.4 If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.
